Statement of Corporate Governance Practices

The Board of Directors of the Corporation considers good corporate governance to be important to the effective operations of the Corporation and to ensure that the Corporation is managed so as to enhance Shareholder value.

The Board of Directors is responsible for ensuring that the Corporation addresses all relevant corporate governance issues in compliance with the corporate governance guidelines set forth in Policy Statement 58-201 to Corporate Governance Guidelines.

The Corporation’s Audit and Compensation Committee Charter and Disclosure of Corporate Governance Practices pursuant to Regulation 58-101 respecting Disclosure of Corporate Governance Practices are set out in Schedules “A” and “B” attached respectively.
